1. Acceptance of Terms
By engaging MapleNovaTech for managed IT services, consulting, cybersecurity solutions, or by utilizing our website (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of a corporation or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. Services Description
MapleNovaTech provides managed IT support, network infrastructure deployment, cybersecurity monitoring, backup and disaster recovery, and cloud migration services. The specific scope, service level agreements (SLAs), and deliverables for your organization will be detailed in a separate Master Services Agreement (MSA) or Statement of Work (SOW). In the event of a conflict between these Terms and your MSA, the MSA shall govern.
3. Client Responsibilities
You agree to provide our technicians with necessary access to your facilities, hardware, and administrative credentials required to perform the Services. You are responsible for ensuring that your staff complies with acceptable use policies regarding company hardware and networks. MapleNovaTech is not liable for service delays caused by lack of access, unauthorized modifications made by your staff, or hardware failures of unsupported legacy equipment.
4. Limitations of Liability
To the maximum extent permitted by applicable Canadian law, MapleNovaTech and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, data loss, business interruption, or reputational damage arising from cyber attacks, hardware failures, or software glitches. Our total cumulative liability for any claims arising out of or related to our Services shall not exceed the total amount paid by you to MapleNovaTech in the three (3) months preceding the incident.
5. Intellectual Property
All methodologies, scripts, monitoring dashboards, documentation, and proprietary tools utilized by MapleNovaTech to deliver the Services remain the exclusive intellectual property of MapleNovaTech. You retain full ownership of all your business data, client records, and proprietary information hosted on the infrastructure we manage.
6. Termination
Standard managed IT agreements require a minimum term as specified in your MSA. Either party may terminate the agreement for cause if the other party breaches a material provision and fails to cure the breach within thirty (30) days of receiving written notice. Upon termination, MapleNovaTech will assist in the orderly transition of administrative credentials and network access back to your organization, subject to standard hourly consulting rates.
7. Governing Law
These Terms and any disputes arising out of your relationship with MapleNovaTech shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any legal action or proceeding shall be brought exclusively in the courts located in Vancouver or New Westminster, British Columbia.
